This licence governs use of a purchased Sunward Research report. The Important Notice, Use & Limitations inside the report forms part of this licence (section 8).
1. Who this licence is between
This licence is between Sumanth N.S., publishing as Sunward Research ("we"), and the Licensee ("you"). In this licence:
- "Licensee" means the person or organisation that purchases a licence to a Sunward Research report.
- "Licensed User" means a person permitted to use the report under the purchased tier.
By purchasing, downloading, or using the report, you agree to this licence.
2. How the purchase works
Reports are distributed through third-party sales platforms. Payment processing, applicable tax collection, receipts, refunds, and other transaction-related matters are governed by the terms and policies of the platform through which the report is purchased, to the extent applicable. This licence governs the purchaser's permitted use of the report.
3. What you receive
You receive a non-exclusive, non-transferable licence to use the edition of the report you purchased, under the tier you purchased. The licence has no time limit for that edition, unless it ends under section 11.
4. Licence tiers
- Individual licence. One Licensed User. The report may be kept on that person's own devices, and one copy may be printed for their own use.
- Team licence. Up to 10 named Licensed Users employed by or working within the same organisation. The report may be stored in one controlled internal repository accessible only to those Licensed Users. The Licensee is responsible for keeping a record of the named Licensed Users. Named Licensed Users may be replaced when employees or other authorised team members leave the organisation or no longer require access. Access must be withdrawn from the departing user before a replacement receives access. The total number of concurrently authorised Licensed Users must not exceed ten.
- Enterprise licence. Wider internal use within one organisation, on the terms set out in a separate written agreement with us. Where that agreement differs from this licence, the agreement governs.
5. What Licensed Users may do
Licensed Users may:
- read, search, and annotate the report;
- quote short extracts, with attribution to Sunward Research, in internal notes, memos, or presentations seen only by Licensed Users;
- quote brief extracts publicly, with attribution, for commentary, criticism, or review;
- use software tools, including AI assistants, to read, search, analyse, or summarise the report for the Licensed User's own use, provided that such use complies with section 6 and does not make the report, or substantial portions of it, available to other users.
When using external software or AI assistants, Licensed Users remain responsible for taking reasonable measures to prevent unauthorised public access to, or redistribution of, the report.
Such use does not authorise placing the report in publicly accessible repositories or shared services available to unlicensed users.
6. What is not permitted
The Licensee and Licensed Users may not:
- share, send, or give access to the report to anyone who is not a Licensed User;
- resell, sublicense, rent, or lend the report;
- post the report, or substantial parts of it, on any public website, file-sharing service, or shared repository;
- remove or alter copyright notices, the Important Notice, or any name or email mark on your copy;
- publish modified versions of the report, or present its content as your own;
- use the report, in whole or in part, to train, fine-tune, or build artificial-intelligence or machine-learning models. For clarity, ordinary use of an AI assistant as permitted under section 5 does not itself breach this restriction; this prohibition concerns using the report as training, fine-tuning, or model-development material;
- systematically extract or reproduce substantial portions of the report for the purpose of creating a dataset, corpus, substitute publication, or other reusable content collection.
7. Ownership
We own the copyright in the report. This licence gives you permission to use it; it does not transfer any ownership. Third-party material cited in the report belongs to its owners. Names and trademarks belong to their respective owners.
8. The Important Notice applies
The Important Notice, Use & Limitations inside the report forms part of this licence. The report is research for information only. It is not investment, financial, legal, regulatory, tax, engineering, or other professional advice, and it does not assess or recommend any company, security, transaction, investment, or site. If this licence and the Important Notice differ on permitted use, this licence governs.
9. Updates
Your licence covers the edition you purchased. We may issue update notes or later editions, but we are not obliged to. Later editions are not included unless stated at the time of purchase.
10. Refunds
Refunds are handled under the policy shown on the product page at the time of purchase, through the selling platform.
11. Ending the licence
If you materially breach this licence and do not remedy the breach within 14 days after written notice, the licence ends. We may end the licence immediately for deliberate unauthorised redistribution, resale, or public posting. When the licence ends, all copies of the report must be deleted. Sections 6, 7, 8, 12, 13, and 14 continue to apply after the licence ends.
12. Liability
To the extent permitted by law, the report is provided "as is", without warranty, and we are not liable for any loss arising from its use, including loss arising from errors, omissions, outdated information, third-party sources, or decisions made using the report. To the extent permitted by law, our total liability to you is limited to the amount you paid for the licence. Nothing in this licence removes any rights you have under consumer-protection laws that cannot be excluded.
13. Governing law
This licence is governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the competent courts at Bengaluru, Karnataka, India, subject to any mandatory rights you have under applicable law.
14. General
This licence, together with the Important Notice and any enterprise agreement, is the whole agreement about your use of the report. If any part is found unenforceable, the rest still applies. The applicable licence is the version provided or made available to the purchaser at the time of purchase. Later revisions do not retrospectively change the rights granted for an existing purchase unless agreed by the parties or required by applicable law.
